These Subscription Terms of Service govern access to and use of the Isiro platform and related services (“Services”) provided by Isirobooks Technologies Inc. (“Isiro,” “we,” “us,” or “our”) to its customers (“Customer,” “you,” or “your”). By subscribing to or using the Services, you agree to be bound by these Terms.
1.1 Plans and Pricing. The fees for the Services are set forth in the applicable subscription plan selected by you. All fees are quoted and payable in Canadian Dollars (CAD).
1.2 Billing Cadence. You will be billed on a monthly or annual basis, as selected in your subscription plan. Your subscription commences on the effective date of your purchase and continues for the term you have selected.
1.3 Taxes. All fees are exclusive of applicable taxes. You are responsible for all sales, use, value-added, or other taxes and duties imposed by any governmental authority. For customers located in Ontario, 13% Harmonized Sales Tax (HST) will be added to your invoice. Taxes for customers outside Ontario may be applied based on applicable local laws and tax rates.
2.1 Automatic Renewal. To ensure uninterrupted service, all subscription plans are set to automatically renew at the end of the subscription term. You authorize Isiro to charge the then-applicable renewal fees to the payment method on file.
2.2 Renewal Charges. Renewal charges will be processed on or shortly before the expiration of your current subscription term. The renewal price may be subject to change with prior notice to you.
3.1 How to Cancel. You may cancel your subscription at any time by logging into your account and accessing the billing settings, or by contacting our support team. A cancellation request will take effect at the end of your current billing cycle.
3.2 Post-Cancellation Access. If you cancel, you will retain access to the paid Services for the remainder of the term you have already paid for (e.g., the full month or year). Your access will be downgraded to a limited status upon the expiration of that paid term.
4.1 Money-Back Guarantee. We offer a full refund of the subscription fees for a 14-day window from the date of the initial purchase, and for a 30-day window for annual subscriptions.
4.2 Refund Process. If you are not satisfied and request a refund within the specified window, we will issue a refund to your original payment method.
4.3 “Cancel-Forward” Policy. Refunds are processed on a “cancel-forward” basis. While we will refund unused time if you cancel within the refund window, a refund will not be provided for billing periods that have already commenced if you cancel outside the window (after 14 days for monthly plans and after 30 days for annual plans). This reflects the approved accounting policy of the company.
5.1 Trial Period. New customers may be eligible for a one-time, 7-day free trial of the Services.
5.2 Trial End. At the conclusion of the 7-day trial, if you have not provided a valid payment method to initiate a paid subscription, your access to the Services will be feature-locked. This means you will lose access to active features but retain the ability to view or export your data.
6.1 Suspension. If your payment method fails or if you fail to pay any fees when due, Isiro reserves the right to suspend or feature-lock your account until the payment is processed. During suspension, you will not have access to the core functionality of the Services.
6.2 Reactivation. To reactivate your account, you must provide a valid payment method and pay any outstanding fees. A lapsed account may incur reactivation fees.
7.1 Data Ownership. You retain full ownership of all data, files, and content (“Customer Data”) that you upload or submit to the Services.
7.2 Retention. Upon cancellation or termination of your account, Isiro will retain your Customer Data for a period of 30 days to allow you to retrieve it.
7.3 Data Export. You are entitled to request an export of your Customer Data in a commonly used format. Isiro will facilitate this offboarding process upon request to our support team.
8.1 Governing Law. These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
8.2 Dispute Process. In the event of any dispute arising out of or relating to these Terms, you agree to first contact Isiro to attempt to resolve the dispute informally. If an informal resolution is not possible within thirty (30) days, the dispute shall be submitted to and resolved by the courts of the Province of Ontario, Canada, located in Toronto, Ontario.
9.1 Limitation of Liability. To the maximum extent permitted by law, Isiro and its suppliers shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of or inability to use the Services.
9.2 Warranty Disclaimer. The Services are provided “as is” and “as available” without any warranties of any kind, whether express, implied, or statutory. We do not warrant that the Services will meet your requirements or be uninterrupted.
9.3 Changes to Terms. Isiro reserves the right to update or modify these Terms at any time. We will notify you of material changes via email or through a prominent notice on the website at least 15 days prior to the effective date. Your continued use of the Services after the effective date constitutes your acceptance of the revised Terms.
